By accessing or using the Services, creating an account, submitting content, accepting a subscription, or participating in Marketplace, you agree to these Terms and incorporated policies. If you act for an entity, you represent that you can bind it. If you do not agree, do not use the Services.
1. Agreement and definitions
“Consultwise,” “we,” “us,” and “our” mean Consultwise Directory and its operator. “Services” means our websites, directory, profiles, dashboards, business-intelligence tools, AI features, content systems, Marketplace, communications, and support. “Content” includes text, data, media, reviews, messages, listings, reports, prompts, and other material. Additional terms presented for a plan, promotion, order, publisher onboarding, integration, or feature are incorporated into these Terms. If they conflict, the more specific terms control for that feature.
2. Eligibility and business authority
You must be at least 18 and legally capable of entering a contract. You may not use the Services where prohibited by law or if we previously terminated you for material misuse. Anyone acting for a company, organization, agency, client, or publisher represents that they have all necessary authority and permissions.
3. Accounts and security
- Provide current, complete, and accurate registration, billing, and business information.
- Protect passwords, multifactor credentials, login links, API credentials, and shared portal links.
- Use individual accounts; do not share credentials or evade role and access controls.
- Promptly report suspected unauthorized access and keep recovery information current.
- You are responsible for authorized users, team members, and activity under your account.
We may require email verification, identity or business evidence, reauthentication, or additional security checks. We may refuse registration or reclaim identifiers that impersonate others, violate rights, or create security risk.
4. Listings, profiles, and editorial decisions
You may submit only Content you own or are authorized to use. It must be truthful, current, relevant, lawful, and not misleading. You must disclose material relationships where required and must not fabricate credentials, locations, services, clients, results, media, or evidence.
Submission does not guarantee review, publication, verification, ranking, featuring, permanence, or traffic. We may edit formatting, request revisions, verify information, reject, unpublish, correct, label, archive, or remove Content. “Published” means eligible for public display; “verified” is a separate status based on the applicable process. Neither is an endorsement, warranty, accreditation, or guarantee.
You remain responsible for monitoring and correcting your public information. Claiming or managing a record does not transfer ownership of third-party trademarks or facts.
5. Reviews, ratings, and endorsements
Reviews must reflect a genuine experience and honest opinion. You may not create or procure fake reviews; impersonate reviewers; condition incentives on positive or negative sentiment; suppress truthful criticism through threats or improper pressure; coordinate review manipulation; or misrepresent an affiliated site as independent. Any permitted incentive or material connection must be clearly disclosed.
We may screen, investigate, delay, label, reject, or remove reviews, but do not guarantee that every review is accurate or that every violation will be detected. Businesses may respond subject to the same standards. Reviews and ratings are user Content, not Consultwise endorsements.
6. Workspaces, recommendations, and AI
Workspace scores, audits, prompts, drafts, schemas, reports, keyword ideas, competitive observations, and recommended actions are informational tools. They may rely on profile data, user inputs, limited crawls, connected providers, or probabilistic AI output. They are not legal, tax, financial, medical, or professional advice and do not guarantee accuracy, search placement, backlinks, citations, AI mentions, leads, revenue, or results.
You must review AI output before use and are responsible for its accuracy, legality, disclosures, and suitability. Do not submit passwords, payment-card data, security codes, regulated data, or confidential information you lack authority to process. We may apply usage limits, safety controls, model changes, and human review.
7. Organizations, agencies, teams, and client sharing
An Organization is for businesses it owns or controls. An Agency manages authorized client businesses it does not own. Agencies must maintain documented client authority and comply with advertising, privacy, intellectual-property, employment, and consumer-protection obligations.
Account owners control team permissions and are responsible for invitations, removals, and client access. Expiring or revocable share links may expose selected client information to anyone who receives the link; configure them carefully. Access logs are operational records and not guaranteed forensic evidence. You may not use client data outside the authorized engagement.
8. Plans, trials, automatic renewal, and cancellation
Before checkout, we display the price, billing interval, material plan limits, and any trial or promotion. By affirmatively accepting a paid plan, you authorize recurring charges and applicable taxes at the disclosed monthly or annual interval until cancellation. Prices may change prospectively after reasonable notice as required by law.
Cancel through the available billing portal or another method we provide. Cancellation stops future renewal and normally takes effect at the end of the paid period; access continues until then unless stated otherwise. Deleting Content, abandoning an account, or disconnecting an integration does not cancel billing. Except where law, checkout terms, or a written refund policy requires otherwise, fees already charged are non-refundable and unused time is not credited.
Plan changes, usage limits, overages, trials, coupons, and promotional terms shown at acceptance form part of the subscription. Failed payment may cause retry, downgrade, suspension, or termination. You remain responsible for accrued charges.
9. Marketplace roles and transactions
Consultwise provides workflow and payment technology that can connect buyers with independent publishers or specialists. Unless expressly stated for a specific order, Consultwise is not the publisher, buyer, employer, agent, joint venturer, or provider of the underlying service and does not guarantee availability, acceptance, publication, editorial outcome, permanence, traffic, authority, or performance.
Publishers must control submitted properties, accurately describe opportunities, disclose sponsored or paid relationships, follow applicable advertising and platform rules, meet agreed specifications, and maintain delivered placements for any stated term. Buyers must provide lawful, accurate briefs and must not request deceptive, infringing, manipulative, or prohibited content. Order details, messages, approvals, revisions, delivery evidence, deadlines, and status records form part of the transaction history.
We may review fit, moderate communications, pause transactions, request evidence, facilitate revisions, or decide platform-level disputes. This does not make us a party to every underlying obligation. Chargebacks outside the stated process may affect access. Marketplace reviews must follow Section 5.
10. Payment processing, fees, refunds, and payouts
Stripe or another disclosed processor handles payment credentials and may require separate terms, identity checks, tax information, reserves, or account verification. Marketplace publishers using Stripe Connect agree to the applicable Stripe Connected Account Agreement and authorize necessary sharing of account and transaction information with Stripe.
Displayed order totals may include platform fees, processor fees, taxes, or other disclosed charges. Refund, cancellation, revision, delivery, dispute, chargeback, reserve, and payout timing depend on order terms, status, applicable law, processor rules, and risk review. We may withhold, delay, reverse, or offset amounts where reasonably necessary for refunds, disputes, fraud, sanctions, negative balances, or legal compliance. Publishers are responsible for their taxes, customers, deliverables, and payout-account accuracy.
11. Acceptable use
You may not:
- violate law, sanctions, export controls, third-party rights, or another person’s privacy;
- commit fraud, phishing, identity theft, harassment, discrimination, or deceptive advertising;
- upload malware or probe, bypass, overload, reverse engineer, or disrupt security;
- scrape, crawl, harvest, or automate access contrary to technical controls or written permission;
- buy, sell, or manipulate reviews, rankings, engagement, backlinks, or trust indicators deceptively;
- send spam, misuse leads, resell personal information, or use data for unauthorized surveillance;
- circumvent fees, usage limits, moderation, suspension, or Marketplace workflow;
- use outputs or Content to build a competing dataset or model where prohibited by law or separate terms.
12. Intellectual property and Content license
You retain ownership of your Content. You grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format, adapt for technical display, publish, distribute, index, moderate, and promote that Content as reasonably necessary to operate and improve the Services. Public Content may remain cached or referenced after removal.
You represent that you have all rights needed for this license. Feedback may be used without restriction or compensation. Consultwise software, design, branding, taxonomies, editorial Content, and compilations are protected and may not be copied except as permitted by law or written authorization. Report alleged infringement through Contact Us with sufficient identifying information.
13. Third-party services and integrations
The Services may link to or connect with Stripe, Google services, analytics providers, CRMs, webhook destinations, AI providers, publisher sites, and other third parties. Their terms and privacy practices apply. You authorize us to exchange the information necessary to perform your requested connection. We do not control third-party availability, decisions, data quality, or changes and are not responsible for their services. Disconnect integrations you no longer authorize.
14. Moderation, suspension, and termination
We may investigate, preserve evidence, restrict features, remove Content, suspend payments or payouts, revoke links, downgrade, or terminate access where reasonably necessary to enforce these Terms, respond to legal process, address payment failure, reduce risk, or protect users and the Services. We may report suspected unlawful activity. Where appropriate, we may provide notice or an opportunity to appeal, but are not required to do so when unsafe, unlawful, or impracticable.
You may stop using the Services at any time, subject to outstanding orders, fees, and cancellation rules. Provisions concerning payment, licenses, ownership, disclaimers, liability, indemnity, disputes, and records survive as applicable.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing. We do not warrant uninterrupted or error-free operation; the accuracy or legality of user, provider, or AI Content; identity or quality of users; or any commercial, search, editorial, security, or Marketplace result. Some jurisdictions do not allow certain disclaimers, so they apply only to the extent lawful.
16. Limitation of liability
To the maximum extent permitted by law, Consultwise and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, opportunity, or business interruption; or third-party conduct.
To the maximum extent permitted by law, aggregate liability arising from the Services will not exceed the greater of (a) amounts you paid Consultwise for the affected Service during the 12 months before the event giving rise to the claim or (b) US $100. These limits do not apply where prohibited or to liability that cannot legally be limited.
17. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Consultwise and its affiliates, officers, employees, and contractors from third-party claims, damages, losses, liabilities, and reasonable costs arising from your Content, business or services, Marketplace transaction, client relationship, violation of these Terms or law, misuse of the Services, or infringement of another party’s rights. We may control the defense and you will cooperate; you may not settle a claim imposing obligations on us without written consent.
18. Disputes and governing terms
Before filing a claim, contact us with a detailed description and allow 30 days for a good-faith attempt to resolve it, except where urgent injunctive relief or a shorter statutory deadline applies. The governing law, courts, arbitration terms, class-action waiver, and legal identity/address of the operator must be finalized in the production version based on the operator’s place of organization and counsel’s advice. Nothing in these Terms waives non-waivable consumer rights.
19. Changes to the Services or Terms
We may change features and these Terms. We will post an updated effective date and provide additional notice or seek consent where legally required. Changes apply prospectively. If you do not accept a material change, stop using the affected Service and cancel any renewal before it takes effect. We may make immediate changes for security, fraud prevention, law, or technical necessity.
20. Notices and contact
Questions, legal notices, and policy reports may be submitted through Contact Us. Privacy requests should use the process in our Privacy Policy. Electronic notices may be delivered to your account email, dashboard, or the Services. You must keep your email current.
